Preliminary Prospectus Dated October 26**,**2026

1,400,000 Shares of Common Stock

On May 20, 2026, we entered into an Agreement and Plan of Merger (this “Amendment”) with Neo North Star Resources, Inc., a Delaware corporation (“Neo”) and the stockholders of Neo set forth on Schedule A thereto, for the acquisition of Neo (the “Agreement”). On September 1, 2026, the parties amended the Agreement to substitute a new parent entity, NNSR Holdings Inc. (“NNSR”). On September 1, 2026, at the closing of the amended Agreement, as consideration for the acquisition of NNSR, we issued to the stockholders of NNSR a total of 1,040,676 shares of our common stock and 359,324 shares of a newly designated series of our preferred stock (“Series R Preferred”). Each share of Series R Preferred stock is convertible by the stockholder into one share of our common stock; provided that, no conversions of the Series R Preferred stock may occur prior to the approval of our stockholders.

This prospectus relates to the resale from time to time by the former stockholders of NNSR identified in the “Selling Stockholders” section of the 1,040,676 hares of our Common Stock issued at the closing and the 359,324 shares of Common Stock issuable upon the conversion of the Series R Preferred stock.

The Selling Stockholder may offer all or part of the shares for resale from time to time through public or private transactions at either fixed prices or prevailing market prices at the time of sale, at varying prices or negotiated prices.

Any broker-dealers or agents that are involved in such resales may be deemed to be “underwriters” within the meaning of the Securities Act in connection therewith. In such event, any commissions received by such broker-dealers or agents and any profit on the resale of the shares purchased by them may be deemed to be underwriting commissions or discounts under the Securities Act. For more information, please see the section of this prospectus titled “Plan of Distribution” beginning on page 5.

We will not receive any proceeds from the resale of shares of common stock by the Selling Stockholders.

Our common stock is traded on the NASDAQ Capital Market under the symbol “GRML.” On October 22, 2026, the average of the high and low sales prices of our common shares was $5.98 per share. These prices will fluctuate based on the demand for our common shares.

Investing in our common shares involves a high degree of risk. You should purchase shares only if you can afford a complete loss. See “Risk Factors” beginning on page 2.

Neither the Securities and Exchange Commission (“SEC”) nor any state securities commission has approved or disapproved of these securities or determined if this prospectus is truthful or complete. Any representation to the contrary is a criminal offense.
