PRELIMINARY PROSPECTUS

This is an initial public offering of shares of common stock of Heritage Distilling Holding Company, Inc. We are offering 2,000,000 shares of our common stock.

Prior to this offering, there has been no public market for our common stock. It is currently estimated that the initial public offering price per share of our common stock will be between $4.50 and $5.50. We have applied to list our common stock on the Cboe BZX Exchange, Inc. (the “CBOE”) under the symbol “CASK”. If our common stock is not approved for listing on the CBOE, we will not consummate this offering.

We are an “emerging growth company” as that term is defined in the Jumpstart Our Business Startups Act of 2012, and as such, have elected to take advantage of certain reduced public company reporting requirements.

Investing in our common stock involves a high degree of risk. Please read “Risk Factors” beginning on page 13 of this prospectus.

Neither the Securities and Exchange Commission nor any state securities commission has approved or disapproved of these securities or passed upon the adequacy or accuracy of this prospectus. Any representation to the contrary is a criminal offense.
