To Our Stockholders

Dear Stockholder:

I’m pleased to tell you that our fiscal 2026 was another strong year for Copart and our stockholders. Our annual revenue rose to $4.7 billion, the highest in our history. As of July 31, 2026, we had total liquidity of $5.7 billion, consisting of $4.5 billion in cash and treasury securities plus another $1.22 billion in undrawn capacity under our revolving credit facility with no debt outstanding, and we had over $10 billion of total assets on our balance sheet.

During the year, we continued to invest in our three pillars of growth: international expansion in insurance, whole car expansion domestically, and technology and services that benefit all of our customers. Our international unit volumes grew 3.7% for the fiscal year, and we are now profitable in all of our international markets. On October 16, 2026, we acquired ACV Auctions, Inc., one of the largest primarily digital automotive marketplaces in the country, in an all-cash transaction funded from cash on hand. We believe that together, Copart and ACV will create a more complete automotive marketplace, connecting the right vehicle to the right buyer through the right channel.

You are cordially invited to attend the 2026 annual meeting of stockholders of Copart, Inc. to be held on Tuesday, December 1, 2026, at 8:00 a.m., Central Standard Time, at Copart’s corporate headquarters located at Copart Tower, 14185 Dallas Parkway, Suite 300, Dallas, Texas 75254.

At this year’s annual meeting, our stockholders will be asked:

•To elect the twelve nominees for director named in the proxy statement to hold office until our 2027 annual meeting of stockholders or until their respective successors have been duly elected and qualified;
•To approve, on an advisory (non-binding) basis, the compensation of our named executive officers for the fiscal year ended July 31, 2026;
•To ratify the appointment by the Audit Committee of our Board of Ernst & Young LLP as our independent registered public accounting firm for the fiscal year ending July 31, 2027;
•To approve the amendment, restatement and extension of our 2007 Equity Incentive Plan, including an amendment to increase the number of shares reserved for issuance thereunder;
•To approve the grant of an option to acquire 20,000,000 shares of our common stock to A. Jayson Adair, our executive chairman and chief executive officer, as more fully described in the proxy statement; and
•To transact such other business as may properly come before the annual meeting or any adjournment or postponement of the annual meeting.

Your vote is important. Whether or not you plan to attend the annual meeting, we urge you to vote and submit your proxy in advance of the annual meeting by following one of the methods described in the proxy statement. You may vote your shares via the Internet or by telephone, as instructed in the proxy statement, or if you elected to receive printed versions of the materials, by signing, dating and returning the enclosed paper proxy card in the enclosed postage-paid envelope.
