To Our Stockholders:
You are cordially invited to attend the 2026 annual meeting of stockholders of Hyperfine, Inc. to be held at 10:00 a.m., Eastern Time, on Thursday, May 21, 2026. This will be my fifth year participating in the annual meeting of stockholders and the fourth since becoming President and Chief Executive Officer in October 2022. I am pleased with the significant progress we have made since last year’s annual meeting, and I am excited about our plans for 2026 that are detailed below.
The Hyperfine team takes great pride in the impact our company has on patients’ lives and we celebrate the many patient stories we receive from the use of our Swoop® systems on a routine basis. By bringing magnetic resonance imaging (MRI) to the point of care, the Swoop® system can help clinicians obtain brain imaging sooner, support timely clinical decision-making, and reduce the need to transport patients. These benefits can be especially meaningful for vulnerable and critical patients as well as in resource-constrained settings and communities with limited access to traditional MRI infrastructure. Our vision to transform access to MRI for the brain globally with our AI-powered, portable and affordable Swoop® system is more compelling than ever as brain diseases such as stroke and dementia continue to increase and represent a devastating human and economic burden. Healthcare trends in favor of decentralized delivery of care and preventative care are favorable for our business.
Since last year’s annual meeting, we have continued to execute on our strategy to expand access to brain MRI globally with our AI-powered, portable Swoop® system. In 2025, we improved image quality and continued to position the Swoop® system for broader adoption across multiple sites of care inside the hospital and in the neurology office setting. We advanced our technology platform and commercial foundation with important regulatory and product milestones, including U.S. Food and Drug Administration (FDA) clearance of our Optive AI™ software and our next-generation Swoop® system powered by Optive AI™ software. We also received FDA clearance of our eleventh-generation AI-powered software in December 2025, adding a new multi-direction diffusion-weighted imaging (DWI) sequence designed to improve image quality and diagnostic confidence for stroke detection. Internationally, we expanded our footprint with CE Mark and UKCA Mark approvals for our Optive AI™ software and received regulatory approval in India from the Central Drugs Standard Control Organization (CDSCO), authorizing commercialization of the first-generation Swoop® system throughout India. In parallel, we remained focused on disciplined execution, strengthening our balance sheet, and supporting our transition to a commercial-stage organization.
Looking ahead, our priorities are to drive broader adoption and utilization of the Swoop® system across multiple sites of care and geographies while maintaining a steady cadence of innovation. In the United States, we are expanding beyond our initial hospital beachhead in critical care into emergency departments and hospital-based clinics, and we have launched into neurology office practices. Internationally, we continue to build on our distributor network and regulatory progress to expand access to the Swoop® system across key markets. We believe these initiatives, supported by continued product and software advancements and our growing body of clinical evidence, position us to pursue diversified growth opportunities as we advance our vision to transform access to MRI globally.

At the annual meeting, five persons will be elected to our board of directors. In addition, we will ask stockholders to ratify the appointment of Grant Thornton LLP as our independent registered public accounting firm for our fiscal year ending December 31, 2026. Our board of directors recommends the approval of each of these proposals. Such other business will be transacted as may properly come before the annual meeting.
Under Securities and Exchange Commission rules that allow companies to furnish proxy materials to stockholders over the Internet, we have elected to deliver our proxy materials to the majority of our stockholders over the Internet. This delivery process allows us to provide stockholders with the information they need, while at the same time conserving natural resources and lowering the cost of delivery. On or about April 9, 2026, we intend to begin sending to our stockholders a Notice of Internet Availability of Proxy Materials (the “Internet Availability Notice”) containing instructions on how to access our proxy statement for our 2026 annual meeting of stockholders and our 2025 annual report to stockholders. The Internet Availability Notice also provides instructions on how to vote online or by telephone, how to access the virtual annual meeting, and how to receive a paper copy of the proxy materials by mail.
We hope you will be able to participate in the annual meeting. Whether you plan to join the annual meeting or not, it is important that you cast your vote either virtually at the annual meeting, or by proxy.
