2026 Proxy Statement and Notice of Annual Meeting of Stockholders

A Letter from Our Chairman and Our CEO

Dear Fellow Stockholder:

We invite you to join the Board of Directors and our management team at the ACCO Brands Corporation Annual Meeting of Stockholders, which will be held at 9:30 a.m. Central Time on Tuesday, May 19, 2026. The sole purpose of the meeting is to consider the matters described in the following Notice of 2026 Annual Meeting and Proxy Statement.

This year's Annual Meeting of Stockholders will again be conducted virtually, via a live audio webcast. By conducting our meeting virtually, we provide our broad stockholder base with easier access and greater ability to attend and participate in the meeting, including the ability to ask questions and vote their shares at the meeting if they wish.

In 2025, despite demand challenges globally and tariff-related disruptions in the U.S., ACCO Brands maintained or grew its market position in most categories, demonstrating the resilience and strength of our brand portfolio.

Our team responded quickly to U.S. tariffs and trade disruptions; our pro-active approach mitigated many of the negative impacts to our business. This work also enabled us to have an ongoing flexible supply chain with competitive costs, value added products and category leading service levels to customers.

We continued the solid implementation of our $100 million multi-year cost reduction program, which yielded $35 million in savings in 2025. Since inception of the plan in 2024, more than $60 million in savings have been realized. This program has simplified the organization, delayered our management structure and rationalized our global footprint through a reduction of our manufacturing facilities. We are on track to deliver the balance of the $100 million in savings by the end of 2026.

We continue to invest in higher growth categories as we reposition the Company for improved revenue performance. We have refined the Company's strategy to focus on the growing technology peripherals market. The acquisition of EPOS represents the first strategic move in this initiative. EPOS provides premium audio solutions and strengthens our enterprise computer accessories business.

We are confident in our strategy and our ability to execute. We are building a more focused, efficient and growth-oriented company. Our operational excellence and sound financial position, combined with our strategy to broaden into technology peripherals, creates multiple pathways to drive value creation for shareholders and a strong platform to support growth initiatives.

We thank you for your continued support of ACCO Brands and encourage you to vote your shares prior to the Annual Meeting.

It is important that your shares are represented at the meeting. You can submit your proxy by using a toll-free telephone number, by mail, or through the Internet.
