Dear Fellow Stockholders:

For more than 25 years, Stride, Inc. (the “Company,” “we” or “our”) has been a national leader in online education and educational technology. We have unmatched innovation, scale, expertise, and relationships with school districts, public charter schools, and educational institutions throughout the United States. Indeed, our foundation for success is strong, and our opportunities for growth are many, particularly given the nationwide demand for alternative education solutions. Fiscal year 2026 performance spotlights our success and competitive differentiators. For example, we:

•Achieved our 10th straight year of revenue growth;
•Delivered 4.2% enrollment growth;
•Increased net income by more than 17%;
•Increased Adjusted EBITDA by more than 8%;1
•Repurchased approximately $189 million of shares of common stock while also making significant investments to scale the business and strengthen our technology; and
•Received numerous awards and recognitions for our education innovation, the transformative educational outcomes we enable, and the inspirational environment we create for students and teachers, including Newsweek’s Most Trustworthy Companies, TIME’s America’s Best Companies, the BIG Awards for Business Company of the Year, GSV 150, and Best Immersive Learning Solution from CODiE Awards. Tallo also earned several recognitions, including the EdTech Cool Tool Award for Hiring, Internships, or Apprenticeship Solution, and K12 Tutoring received multiple honors, including a win from the Tech & Learning Awards of Excellence.

Over the past few months, we have also made important changes to the Company’s Board of Directors (the “Board”), leadership, and governance to position the Company for its next chapter of profitable growth and enhance stockholder value.

•In July 2026, Robert E. Knowling, Jr. was appointed as the Company’s new Chief Executive Officer. Mr. Knowling has a 30-year track record leading business transformation, improving operating execution, and successfully scaling organizations across the education and technology sectors.
•In connection with Mr. Knowling’s appointment as CEO, we separated the Chair and CEO roles, appointing Steven B. Fink, most recently the Company’s Lead Independent Director, as independent Chair of the Board. Mr. Fink assumed this role having served as a board chair or director at other public companies, including a private school operator, a software company and a children’s learning-technology company.
1Adjusted EBITDA is a non-GAAP financial measure. A reconciliation of Adjusted EBITDA to its most directly comparable GAAP financial measure is provided in Appendix A.
•In July 2026, we also welcomed Brian A. Shepherd as a new independent director. As the former CEO of CSG Systems, Mr. Shepherd brings large-scale technology, customer-lifecycle management, and public-company operating experience that we believe is highly relevant for our Company as a technology-forward company dedicated to providing outstanding experiences for our customers – students and families – across their educational journey.
•In October 2026, Dylan G. Haggart, Founder, Managing Partner, and Chief Investment Officer of Fivespan Partners, LP, the investment manager of Fivespan Partners Fund, Ltd., one of the Company’s significant stockholders, was appointed to the Board. Our Board also formed a new Capital Allocation Committee to evaluate the Company’s capital structure and capital allocation priorities. In addition, in October 2026, we announced that Dr. Steven Guttentag, an experienced education technology leader who most recently served as Chief Executive Officer of EPS Learning, would be appointed to the Board during the quarter ending December 31, 2026.

We have a long record of evolving our Board and our leadership team to reflect the needs of the Company and our strategic direction. In connection with Mr. Haggart’s appointment, Allison Lawrence temporarily resigned from the Board and the Compensation Committee effective October 22, 2026 and is serving as a non-voting Board observer. Immediately after this year’s Annual Meeting of Stockholders, which will be held on December 10, 2026 (the “Annual Meeting”), we will welcome Dr. Steven Guttentag to join the Board and welcome Ms. Lawrence back to our Board, and our Board size will be increased from eight to 10. With the new members joining the Board, existing Board expertise will be further strengthened and complemented, particularly with additional experience in technology-based education, emerging technologies, capital allocation, capital markets and marketing.

Our work to ensure we fully realize the Company’s upside growth and value creation potential is continuing. We are focused on ensuring that the right priorities, initiatives, and organizational structure are in place to best position the Company for profitable growth and to deliver on its mission of helping learners of all ages reach their potential through inspired teaching and personalized learning. We look forward to engaging with stockholders about these initiatives, the Company’s performance and progress, and the matters to be considered at the Annual Meeting, as detailed in the enclosed proxy materials.

IT IS IMPORTANT THAT YOUR SHARES BE REPRESENTED AT THE ANNUAL MEETING REGARDLESS OF THE NUMBER OF SHARES YOU OWN OR WHETHER OR NOT YOU ARE ABLE TO ATTEND THE ANNUAL MEETING IN PERSON.

Whether or not you plan to attend the Annual Meeting, we urge you to vote promptly on the matters described in the Proxy Statement. Please vote electronically via the Internet or by telephone, if permitted by the broker, bank or other nominee that holds your shares, or if you receive a paper copy of the proxy materials, please complete, sign, date and return the accompanying proxy card or voting instruction form. Thank you for being a stockholder and for your continued support of the Company.

Sincerely,
Steven B. FinkRobert E. Knowling, Jr.
