NOTICE OF ANNUAL MEETING OF STOCKHOLDERS

TO BE HELD ON NOVEMBER 2, 2026

You are cordially invited to attend the 2026 Annual Meeting of Stockholders (the “Annual Meeting”) of Neuphoria Therapeutics Inc. (the “Company,” “we,” “our,” “us”) to be held on November 2, 2026, at 9:00 a.m., Eastern time, online at https://meetnow.global/MZRSRWT. The Annual Meeting of Stockholders will be held in a virtual-only meeting format.

At the Annual Meeting, stockholders will be invited to consider and vote upon the following matters:

1.Election of one Class II director to serve for a three-year term of office expiring at the 2029 Annual Meeting of Stockholders;
2.Ratification of the appointment of Wolf & Company P.C. (“Wolf & Company”) as our independent registered public accounting firm for the fiscal year ending June 30, 2027;
3.To approve one or more adjournments of the Annual Meeting to a later date or dates to solicit additional proxies if there are insufficient votes to approve any of the proposals at the time of the Annual Meeting.

The foregoing items of business are more fully described in the proxy statement accompanying this Notice of Annual Meeting of Stockholders. Only holders of record of shares of Common Stock as of the close of business on the record date, September 10, 2026 (the “Record Date”), are entitled to receive notice of, and to vote at, the Annual Meeting.

Your vote is very important to the Company and all proxies are being solicited by the board of directors and executive officers, as well as representatives of Sodali & Co. who we have retained to aid in the solicitation of proxies, at an estimated cost of $20,000. So, whether or not you plan on attending the Annual Meeting, we encourage you to submit your proxy as soon as possible (i) by accessing the Internet site or by calling the toll-free number described in the proxy materials; or (ii) by signing, dating and returning your proxy card or instruction form provided to you. Please note that all votes cast by telephone or on the Internet by beneficial holder (in street name by banks or brokers) must be cast not later than 11:59 p.m., Eastern Time, on November 1, 2026.

**Please note that this proxy statement relates solely to our 2026 Annual Meeting of Stockholders and does not contain information or proposals regarding the Company’s proposed merger with Scancell Holdings plc, which we announced on July 23, 2026, and does not ask you to consider the merger agreement or any other matters related thereto. We do not intend to discuss the proposed merger at our 2026 Annual Meeting of Stockholders, as we will hold a separate special meeting of stockholders in the future to consider and seek approval for the proposals contemplated by the merger agreement. We will deliver a separate set of proxy solicitation materials to you for the special meeting of stockholders in connection with the proposed merger. The proposed Scancell merger is subject to closing conditions set forth in the merger agreement including, among others, the approval by shareholders of both companies.
