NOTICE OF 2024 ANNUAL MEETING OF SHAREHOLDERS
April 4, 2024
Dear Shareholder:
It is my pleasure to invite you to attend The St. Joe Company’s Annual Meeting of Shareholders (the “Annual Meeting”). The meeting will be held on May 14, 2024, at 9:00 am, Central Daylight Time, at the Camp Creek Inn, 684 Fazio Dr., Inlet Beach, FL 32461. At the meeting, you will be asked to:
| 1. | Elect five directors for a one-year term expiring at the 2025 annual meeting of shareholders or until his successor is elected and qualified. |
| 2. | Ratify the appointment of Grant Thornton LLP as our independent registered public accounting firm for the 2024 fiscal year. |
| 3. | Approve, on an advisory basis, the compensation of our named executive officers. |
| 4. | Transact such other business as may properly come before the Annual Meeting and any adjournment or postponement of the Annual Meeting. |
Only shareholders of record as of the close of business on March 20, 2024 may vote at the Annual Meeting.
It is important that your shares be represented at the Annual Meeting, regardless of the number of shares you may hold. Whether or not you plan to attend the Annual Meeting, please vote using the Internet, by telephone or by mail, in each case by following the instructions in our proxy statement.
In addition, following the conclusion of the Annual Meeting, we will be hosting a driving tour of some of our Northwest Florida properties for shareholders who attend the Annual Meeting. The tour will begin at approximately 1:00 pm, Central Daylight Time on May 14, 2024 and continue at 8:30 am, Central Daylight Time on May 15, 2024. Space for the tour is limited and advanced registration is required. Please email us at JOE2024@joe.com no later than April 29, 2024 to reserve your seat for the tour or to request additional details regarding the tour.
