NOTICE OF ANNUAL MEETING OF STOCKHOLDERS
TO BE HELD ON JUNE 2, 2026
April 23, 2026
To the Stockholders of American Strategic Investment Co.:
I am pleased to invite you to the 2026 Annual Meeting of Stockholders, including any postponement or adjournment thereof (the “Annual Meeting”), of American Strategic Investment Co., a Maryland corporation (the “Company”), which will be held at 2:00 p.m. Eastern Time on June 2, 2026. The Annual Meeting will be a “virtual meeting” of stockholders which will be conducted exclusively online via live webcast. You will be able to attend the Annual Meeting and vote and submit questions during the Annual Meeting via the live webcast by visiting meetnow.global/MLJAF4H.
If you plan to attend the Annual Meeting online, you will need the control number included on the Notice of Internet Availability of Proxy Materials (“Notice of Availability”) or, if you requested paper copies, in the instructions printed on your proxy card. Instructions are also described in the accompanying proxy statement. At the Annual Meeting, you will be asked to consider and vote upon on the following matters, as more fully described in the proxy statement accompanying this Notice of the Annual Meeting: (1) the election of two persons to serve on our board of directors (the “Board of Directors”) until the 2029 annual meeting of stockholders (the “2029 Annual Meeting”) and until their respective successors are duly elected and qualify, (2) the ratification of the appointment of CBIZ CPAs P.C. as the Company’s independent registered public accounting firm for the year ending December 31, 2026, (3) a proposal to adopt a non-binding advisory resolution regarding executive compensation and (4) the transaction of such other matters as may properly come before the Annual Meeting. The Board of Directors has fixed the close of business on April 10, 2026 (the “Record Date”) as the record date for the Annual Meeting. Only record holders of shares of the Company’s Class A common stock, par value $0.01 per share, at the close of business on the record date are entitled to notice of, and to vote at, the Annual Meeting.
For further information regarding the matters to be acted upon at the Annual Meeting, please read the accompanying proxy statement. We are mailing the Notice of Availability to our stockholders of record as of the Record Date instead of paper copies of our proxy statement and 2025 Annual Report in reliance on rules promulgated by the Securities and Exchange Commission that allow the Company to furnish proxy materials to you via the Internet. The Notice of Availability contains instructions on how to access those documents via the Internet. The Notice of Availability also contains instructions on how stockholders can receive a paper copy of our proxy materials, including the proxy statement, our 2025 Annual Report and proxy card. This Notice of the Annual Meeting, the Notice of Availability, proxy statement and form of proxy are being distributed and made available on the Internet on or about April 23, 2026.
Registered stockholders can access proxy materials atwww.envisionreports.com/NYC. Beneficial holders can access proxy materials atwww.edocumentview.com/NYC. You also may authorize your proxy via the Internet or by telephone by following the instructions on those websites. You may vote during the Annual Meeting by following the instructions available on the meeting website during the meeting. Your attendance alone, without voting, will not be sufficient to revoke a previously authorized proxy.
You are cordially invited to attend the Annual Meeting. Regardless of whether you own a few or many shares and whether you plan to attend the Annual Meeting in person via webcast or not, it is important that your shares be voted on matters that come before the Annual Meeting.
