Dear Stockholder:

You are cordially invited to attend the 2025 Annual Meeting of Stockholders (the “Annual Meeting”) of SuRo Capital Corp. The notice of annual meeting and the proxy statement (the “Proxy Statement”) accompanying this letter provide an outline of the business to be conducted at the Annual Meeting. At the Annual Meeting, you will be asked to: (i) re-elect two members of the board of directors of the Company (the “Board”), each of whom will serve for a term of three years and until their respective successors are duly elected and qualified; (ii) provide an advisory vote on executive compensation; (iii) recommend, in a non-binding vote, the frequency of an advisory vote to approve the compensation of the Company’s named executive officers, (iv) approve an amendment and restatement of the SuRo Capital Corp. Amended and Restated 2019 Equity Incentive Plan; (v) ratify the selection of CBIZ CPAs P.C. to serve as the Company’s independent registered public accounting firm for the fiscal year ending December 31, 2025; and (vi) transact such other business as may properly come before the Annual Meeting or any postponement or adjournment thereof. Details of the business to be conducted at the Annual Meeting are set forth in the accompanying Notice of 2025 Annual Meeting of Stockholders and Proxy Statement.

The Company’s Board unanimously recommends that you vote “1 YEAR” for the frequency of the advisory vote to approve the compensation of the Company’s named executive officers and “FOR” each of the other proposals to be considered and voted on at the Annual Meeting.

The Company has elected to provide access to its proxy materials to certain of its stockholders over the internet under the U.S. Securities and Exchange Commission’s “notice and access” rules. On or about April 11, 2025, the Company intends to mail to most of its stockholders a Notice of Internet Availability of Proxy Materials containing instructions on how to access the Proxy Statement and the annual report on Form 10-K for the year ended December 31, 2024 (the “Annual Report”), and how to submit proxies by telephone or through the internet.
