The aggregate market value of the voting stock held by non-affiliates of the registrant, as of June 30, 2023, was $60.0 million. Such aggregate market value was computed by reference to the closing price of the common stock as reported on the Nasdaq Global Select Market on June 30,2023. Shares of common stock held by other persons, including certain other holders of more than 10% of the registrant’s outstanding common stock, if any, have not been excluded from the above calculation in that such persons are not deemed to be affiliates. The determination of affiliate status is not necessarily a conclusive determination for other purposes.

As of March 22, 2024, there were 5,482,752 shares of the registrant’s common stock, $0.001 par value per share, outstanding.
