2025 Review – Marking a Milestone Year with Continued Growth
In 2025, SPX Technologies (“SPX”) marked its 10th year following the spin-off of SPX Flow, Inc. by delivering another outstanding year of financial and operational performance. Strong organic growth, impactful new product innovation, and multiple strategic acquisitions drove year-over-year increases of 14.2% in revenue and 21.7% in income from continuing operations. We closed the year in a strong financial position, supported by a successful $575 million equity raise and robust performance across our businesses, underscoring the strength and effectiveness of our value creation framework.
Investments in capacity expansion, continuous improvement, and AI/digital capabilities were aimed at enhancing our capacity, operating efficiency and profitability. With strong cash generation, we maintained disciplined capital deployment and balance sheet flexibility.
Well-Positioned to Continue Value Creation Journey
We entered 2026 well positioned to sustain this momentum, supported by healthy backlogs in both our HVAC and Detection & Measurement segments. Customer demand remains healthy across key end markets including data center, healthcare, and institutional markets where accelerating growth is driving our capacity expansion efforts.
Looking ahead, we see significant opportunities for SPX to continue growing and driving shareholder value. We will continue leveraging our business system to drive operational excellence, pursue strategic acquisitions that strengthen our platforms, and advance our sustainability and talent development initiatives. Our recent successful capital raise, including our new $2 billion credit facilities coupled with the $575 million equity raise, provides ample capital to support our strategic organic and inorganic initiatives.
Our 2026 guidance reflects our confidence in the business and includes another double-digit increase in adjusted earnings per share at the midpoint. The goals we have set reflect both the high expectations we hold for our team and our continued commitment to delivering the strong performance our stockholders expect from SPX.

| APPENDIX A – RECONCILIATION OF GAAP TO NON-GAAP FINANCIAL MEASURES | A-1 |
Non-GAAP Financial Measures: Our adjusted earnings per share guidance and adjusted EBITDA guidance for full year 2026 are not measures under generally accepted accounting principles in the United States (“GAAP”) and exclude items, which would be included in our comparable GAAP financial measures, that we do not consider indicative of our on-going operating performance; and each is calculated in a manner consistent with the presentation of the similarly titled historical non-GAAP measure presented in our earnings release for the quarter and fiscal year ended December 31, 2025 furnished as Exhibit 99.1 to our Current Report on Form 8-K dated February 24, 2026. These items include, but are not limited to, acquisition and integration-related costs, costs associated with dispositions, and potential non-cash income or expense items associated with changes in market interest rates and actuarial or other data related to our pension and post-retirement plans, as the ultimate aggregate amounts associated with these items are out of our control and/or cannot be reasonably predicted. Accordingly, a reconciliation of our non-GAAP financial guidance to the most comparable GAAP financial measures is not practicable. The full-year guidance excludes impacts from future acquisitions, dispositions and related transaction costs, restructuring costs, incremental impacts of tariffs and trade tensions on market demand and costs subsequent to February 24, 2026, the impact of foreign exchange rate changes subsequent to December 31, 2025, and environmental and litigation charges. See Appendix A for additional information with respect to certain non-GAAP financial measures used to evaluate performance for the purpose of executive officer incentive compensation, which is discussed elsewhere in this Proxy Statement.
